Purpose
Toysmith invests significant resources in protecting its network of authorized dealers, distributors, and customers. To maintain product quality, supply chain integrity, and customer support, Toysmith restricts resale of its products through certain online marketplaces.

Policy
By placing an order on toysmithtoys.com or submitting a purchase order electronically, you agree that you will not, directly or through distributors, market, advertise, promote, sell, or distribute Toysmith merchandise to Amazon, Walmart.com, or any "pure play" internet retailers.

This restriction includes, but is not limited to, online marketplaces such as:

• Amazon.com
• Walmart.com
• eBay.com
• Any other third-party websites other than those owned and operated by the authorized retailer

Enforcement
Customers found in violation of this policy will be required to remove the prohibited listings immediately. Continued noncompliance may:

• Jeopardize your retailer relationship with Toysmith
• Subject you to liability for damages
